Terms of Sale
These terms explain how OALLO handles custom orders, ready-to-wear purchases, pricing, approvals, materials, payment, shipping, and related purchase terms.
1. Overview
These Terms of Sale apply to purchases, deposits, custom jewelry projects, made-to-order jewelry, ready-to-wear jewelry, services, invoices, proposals, and checkout transactions offered by OALLO through oallo.com or direct written communication.
By placing an order, paying a deposit, approving a quote, submitting payment, or approving production, you agree to these Terms of Sale and any project-specific terms provided by OALLO in writing.
2. Order Acceptance
Custom Reviews, consultations, estimates, price ranges, proposals, and quotations are invitations to purchase and are not binding acceptances by OALLO.
An order is accepted only when OALLO confirms in writing that the applicable design specifications are final, required payments have been received, required terms have been accepted, and OALLO accepts the project or item for production, fulfillment, or shipment.
OALLO may decline, cancel, or refuse an order if the project is not feasible, materials are unavailable, payment cannot be verified, fraud risk is detected, pricing or product information contains an error, originality or legal concerns exist, the customer does not provide required information, or the order cannot reasonably be fulfilled.
3. Custom Reviews Are Not Final Orders
A Custom Review request does not create a final order, production obligation, price guarantee, delivery guarantee, or requirement for OALLO to accept the project.
OALLO may review your idea, references, budget, timeline, materials, and design direction before deciding whether the project is a suitable fit.
4. Design Deposits
Some custom projects may require a design deposit before OALLO begins paid design-stage work. Design deposits are governed by OALLO’s Design Deposit Terms.
A design deposit is not the full price of the finished jewelry. It may be credited toward the final purchase price only as described in the Design Deposit Terms or the applicable written proposal.
5. Estimates and Quotes
Initial estimates, budget ranges, and informal price guidance are not final quotes. They are based on limited information available at the time of review.
Final pricing may change based on final design, metal type, metal weight, stone selection, stone quality, labor, production complexity, supplier pricing, market price changes, taxes, shipping, insurance, duties, and customer-requested changes.
No final price is confirmed until OALLO provides a written quote, invoice, checkout page, or proposal and the customer accepts the applicable terms.
6. Final Design Approval
Before custom production begins, you must approve in writing the final design specifications. These may include metal type, stone category, major dimensions, ring size or other measurements, engraving details, quoted price, estimated production window, and required payment schedule.
Written approval may include approval by email, invoice acceptance, checkout confirmation, signed document, text confirmation, or another written form accepted by OALLO.
Changes requested after final approval may require a revised quote, additional fees, additional deposit, new approval, and revised timeline. OALLO may decline changes that are not feasible or that materially alter the project.
7. Payment Terms
Payment terms will be provided before purchase or production. OALLO may require a design deposit, production deposit, partial payment, full payment before production, final balance before shipment, or another written payment schedule.
Orders may be delayed, paused, or canceled if payment is not received by the required deadline.
Customer payments must be made through approved payment methods. OALLO may refuse or cancel transactions that cannot be verified, appear fraudulent, violate payment processor rules, or create elevated business risk.
8. Sales Tax, Duties, and Fees
Applicable sales tax, use tax, shipping charges, insurance charges, duties, import fees, customs charges, brokerage fees, or similar charges may be added where required or applicable.
OALLO is responsible for collecting sales tax where required. Customers are responsible for any taxes, duties, import fees, customs charges, brokerage fees, or other charges not collected at checkout or invoice.
9. Jewelry Descriptions, Stones, and Materials
OALLO will make reasonable efforts to accurately describe metals, stones, laboratory-grown diamonds, natural diamonds, colored gemstones, cultured pearls, treatments, approximate carat weights, dimensions, certifications, and other material jewelry details where applicable.
Natural stones may vary in color, clarity, inclusions, cut, tone, size, and appearance. Carat weights, dimensions, and measurements may be approximate unless expressly stated as exact.
If laboratory-grown diamonds or laboratory-grown gemstones are used, OALLO will identify them as laboratory-grown, laboratory-created, or equivalent wording. If simulated or imitation stones are used, OALLO will identify them as simulated, imitation, or equivalent wording.
If OALLO knows that a gemstone or diamond treatment materially affects value, permanence, or care requirements, OALLO will disclose that information where applicable.
If a specific certification, origin, treatment disclosure, stone grade, metal purity, diamond type, gemstone type, or documentation is important to you, you must request and confirm it before purchase or production.
10. Product Images, Renderings, and Appearance
Product photos, renderings, sketches, design references, and digital previews are for visual guidance. Actual jewelry may vary due to lighting, screen settings, stone variation, handmade finishing, production method, metal tone, scale, photography, and natural material differences.
Custom jewelry is created to follow the approved design direction, but OALLO cannot guarantee exact replication of a reference image, sketch, inspiration photo, or digital rendering.
11. Reference Images and Original Design
Reference images, screenshots, links, sketches, and uploads are used for inspiration, feasibility review, and communication only.
OALLO does not agree to reproduce protected third-party designs, trademarks, copyrighted works, trade dress, brand-identifiable designs, or another designer’s proprietary work.
You represent that you have the right to provide any materials you submit and that your submissions do not violate the rights of any third party. OALLO may decline projects that appear to require copying another designer’s or brand’s protected work.
12. Customer Materials
For launch, OALLO does not accept customer-provided stones, heirlooms, scrap metal, or other materials as a standard service.
If OALLO later agrees in writing to work with customer-provided stones, metal, heirloom jewelry, or other materials, separate written terms may apply.
Customer-supplied materials may involve elevated risk, including chipping, cracking, porosity, breakage, metal fatigue, hidden treatments, unknown origin, undisclosed damage, instability, or loss not visible on intake.
Unless otherwise agreed in writing, OALLO’s liability for customer-supplied materials is limited to the lesser of the amount paid to OALLO for the relevant service or the documented declared value accepted in writing by OALLO before work begins.
13. Customer Responsibility
Customers are responsible for providing accurate information, including ring size, measurements, engraving spelling, material preferences, budget range, timeline needs, shipping information, contact information, and other project details.
OALLO is not responsible for issues caused by incorrect customer-provided information, late approvals, delayed responses, inaccurate measurements, incorrect shipping information, or changes requested after approval.
14. Production Timeline
Any production or delivery date provided by OALLO is an estimate only unless OALLO expressly states in writing that a date is guaranteed.
Typical custom production may take approximately 4 to 6 weeks after final design approval, but timelines may vary based on design complexity, revisions, sourcing, stone availability, production capacity, holidays, shipping, supplier delays, quality control, customer approvals, or events outside OALLO’s control.
If OALLO cannot ship within a promised or applicable estimated timeframe, OALLO will make reasonable efforts to notify you, provide a revised estimated shipping date when available, and offer any cancellation or refund rights required by applicable law.
15. Shipping and Delivery
OALLO will ship using a carrier and service level selected in its discretion based on order value, destination, insurance availability, and security considerations.
OALLO may require signature confirmation, adult signature, insured shipping, hold for pickup, identity verification, address verification, or shipment to a physical address only.
OALLO may refuse shipment to P.O. boxes, freight forwarders, hotels, temporary addresses, unsupported countries, or other addresses it considers insecure or unsuitable for fine jewelry delivery.
Unless otherwise stated in writing, OALLO will insure shipments for their declared value while in transit. After an order has shipped, OALLO may be unable to reroute or change the delivery address.
You must inspect the package promptly upon delivery and notify OALLO within 48 hours if the package appears tampered with, damaged, incomplete, or incorrect.
16. Risk of Loss
Risk of loss transfers to the customer upon documented delivery to the shipping address provided by the customer, including delivery confirmed by carrier scan, signature, adult signature, or hold-for-pickup release, except where prohibited by law.
If shipping insurance applies, customers must cooperate with claim documentation, packaging retention, carrier requirements, insurer requirements, and investigation steps.
17. U.S. Orders Only at Launch
For launch, OALLO accepts U.S. orders only. International orders may be added later after tax, customs, shipping, insurance, and compliance setup are reviewed.
18. Returns and Cancellations
Returns, cancellations, exchanges, damaged items, incorrect items, and non-returnable items are governed by OALLO’s Returns & Cancellations Policy.
Custom, made-to-order, modified, resized, engraved, personalized, specially sourced, or specially produced jewelry may be final sale as described in that policy and any project-specific terms.
19. Repairs, Warranty, and Normal Wear
Fine jewelry is delicate and requires proper care. Normal wear and tear is not a defect.
Unless OALLO provides a separate written warranty, scratches, dents, bent or stretched metal, stretched chains, worn prongs, loose stones caused by wear or impact, stone chips or cracks caused by impact, damage from chemical exposure, improper cleaning, improper storage, misuse, third-party repair, resizing, or alteration are not covered.
Repairs, resizing, stone tightening, cleaning, inspection, or maintenance may require additional fees, shipping costs, insurance, and production time.
20. Care Responsibility
Customers are responsible for properly wearing, storing, cleaning, and maintaining jewelry. Certain stones, settings, chains, finishes, and designs may require special care.
OALLO may provide care guidance where appropriate, but customer wear habits, storage, cleaning, chemical exposure, impact, and maintenance remain the customer’s responsibility.
21. Refusal of Service
OALLO may refuse, pause, or cancel service or production where it reasonably believes a request is unsafe, unlawful, fraudulent, abusive, misleading, infeasible, inconsistent with brand standards, or likely to violate third-party rights.
22. Limitation of Liability
To the maximum extent permitted by law, OALLO will not be liable for indirect, incidental, consequential, special, emotional, punitive, or similar damages, including lost profits, emotional distress, loss of opportunity, or loss of sentimental value.
OALLO’s total liability arising from any order, product, or service will not exceed the amount actually paid to OALLO for the specific product or service giving rise to the claim, except in cases of fraud, gross negligence, willful misconduct, or liability that cannot be limited under applicable law.
23. Force Majeure
OALLO is not responsible for delays or failure caused by events outside its reasonable control, including supplier delays, shipping carrier issues, customs delays, natural disasters, labor disruptions, power outages, system failures, illness, emergencies, war, civil unrest, government action, payment processor issues, or other unexpected events.
24. Payment Disputes and Chargebacks
If you have a concern about a charge, order, deposit, cancellation, return, or shipment, please contact OALLO first at hello@oallo.com so we can review the issue.
Improper chargebacks or payment disputes may delay or cancel a project. OALLO reserves the right to provide payment processors with order records, shipment records, approvals, communications, invoices, inspection findings, and work history to respond to payment disputes.
25. Relationship to Other Terms
These Terms of Sale should be read together with OALLO’s Design Deposit Terms, Returns & Cancellations Policy, Shipping Policy, Privacy Policy, and any written proposal, invoice, checkout page, or project communication provided by OALLO.
If there is a conflict between these general terms and a written custom project proposal accepted by the customer, the project-specific written terms may control to the extent permitted by law.
26. Governing Law
These Terms of Sale are intended to be governed by the laws of the State of California, without regard to conflict of law principles, except where another law is required to apply.
27. Updates to These Terms
OALLO may update these Terms of Sale from time to time. The version posted or provided at the time of order will generally apply to that order unless otherwise required by law or agreed in writing.
